Orders for the eligible hardware and optional qualifying software and/or
software subscription must be placed on or before December 13, 2002. The
Date of Installation, as defined in the IBM Customer Agreement, for the
eligible hardware must occur on or after July 17, 2002, but no later than
December 31, 2002.

To receive the higher 3Q 38% discount, the qualifying software must have a
Date of Installation and the qualifying software subscription must have an
Effective Date of on or after July 17, 2002, but no later than September
30, 2002.

To receive a 32% 4Q discount, the qualifying software must have a Date of
Installation and the qualifying software subscription must have an
Effective Date of on or after October 1, 2002, but no later than December
31, 2002.
