That is the Remote Command Server, which processes incoming remote
commands.  If you no longer want it started automatically, go to
Control Panel's Client Access applet.  There is a tab for "Incoming
Remote Command", then deselect the checkbox for "Automatically start
incoming remote command".

PS - I always thought this thing should minimize to the tray and not
be in the taskbar...
