If you want free tools, I find that using a combination of the tools at www.jcrcmds.com, along with the conversion inside of RDI, can get me very close. RDi does, for certain, convert comments. I believe the JCR tools do, as well, you might need to run those in a certain sequence to get the results you want. Commands like JCRHFD and JCRPROTO and JCR4MAX convert H, F, and D specs, convert CALLs to prototypes, and do other changes. And there's JCRFREESS which shows you what the original and converted source are, along with indications of which things could not be converted. You also get the code with JCR, so you can make it do what YOU want it to do.

As to commercial tools, Linoma Software has its RPG Toolbox, and there is a conversion tool from Arcad.
