If you slap another set of parens in as follows, does it work?
CorrectRec = Not ((ContainsEM And Not EMisFirst) Or
                          (StudentCount <> ModelChgCount));

I know I have resolved some issues by adding parens where they should not
have been needed, but adding them 'un-confused' the compiler.
