Jim, Sorry I got snotty in my post. I'm all for a technical exchange list like midrange-l, but in a consultants forum I fear we would have anecdotal stories instead of solid legal or accounting advice that is being sought. Personally, it's not that what I do, or how I do it is any kind of secret. I just won't put myself into a position where my armchair quarterbacking could expose someone to trouble. What works in my state may be illegal in yours and vice versa. As in Mark's original post, subcontracting and contracts are such an "it depends" issue that proper legal advice is the only advice I would trust my company and livelihood to. Peace, James W.
