You might also look into an LLC.  This way you only pay taxes one time 
but still get the "corporate" shield.

Don't know if IBM will like that however.

My business did not qualify because it is not incorporated.  It is a 
sole
proprietorship. I guess that 27 years of consulting and development 
for
S/3, S/32, S/34, S/36 and AS/400 customers is not enough security for 
Big
Blue.
