I agree with Jon's list below.

And I'll add a couple more.

1) "Automatic" Fast Views - when you go into full-screen edit, all the other views (for me, the most important is Outline) are available as Fast Views without the need to pre-create them. Best part of that is that you have Outline (and all other views) at your beck and call regardless of whether you're in "standard perspective mode" or full screen.

2) It seems to perform much better to me on most things.

3) Jon already said about current language features. But I'll add to that the current language reference manuals and/or content-assist templates in the editor - especially helpful as we're moving into the new all-free F, D and P specs in RPG and trying to remember the device or data types and new keywords, etc - just a Ctrl+Space or F1 away.

It's well worth it for me.

Support for current language features - you're already a long way behind.

Dynamic updating of the outline view - you type it adds the info to the view instantly.

Significantly improved screen and print designer

Support from IBM. At some point your WDSC may not work on future versions of the OS.

Hundreds and hundreds of smaller feature upgrades that you may or may not make use of.

That's my list just off the top of my head.
