Probably not, I believe that you need to have 5733AS3 installed to be
entitled to the free copy.

The IBM press release reads:

"Current customers who have WAS SE (V3.02 or V3.5) and SW subsription can
get
1 copy of WAS Express per iSeries serial number(at no additional charge.)
You must have ordered WAS SE before 1/28/2003.  If you do not already have
WAS 3.xx it will cost $2K per CPU or $25 per user(in 20 user increments.)"
