Did you use the AFP printer driver to create the overlay? I think I had problems with text being rendered as graphic, or font substitution. I can remember for sure... Check your AFP printer driver settings. PS. Just remembered, we also had problems with matching DPI. The printer was 300 DPI and the overlay was 240 DPI (I think). Scaling the image to output at 300 dpi hosed the quality of the overlay.
