Chance of... -- MIDRANGE-L

My company has been asked to upgrade a customer from 2.1.0 to 3.2.0. I
know I need to do this in a 2 step process. Question is what are our
chances of getting all the things we need to got from 2.1.0 to 2.3.0? 

Other options? Like FULL BACKUP, Scratch, Load 3.2, Restore User Data...
What kind of pit falls etc. are we going to hit??
