I don't know what sort of lawyers you've talked to! I've worked at a lot of software companies (including the current one) who routinely enter into escrow agreements with customers who require it and want to pay for it. Currently we use Fort Knox. If a company goes under you generally get a copy of the current source code for your own use only.
