I'd recommend a Vista HP to Win7 HP in-place upgrade and follow that with an
Anytime Upgrade to Win7 Ultimate. If the apps you use aren't too esoteric,
the Vista to 7 HP upgrade can happen with no need to reinstall your apps.
And with Windows 7, HP has all of Ultimate's features but the extra features
are merely disabled. An Anytime Upgrade from 7 HP to 7 Ultimate take just
moments as all you do is update the license key & the OS will unlock the
added features..

As with any OS upgrade, do a backup before you begin.

I took my wife's notebook from Vista HP to 7 HP. The entire process took a
couple of hours but all I had to do was insert the Win7 DVD and go through a
few setup options. After that the entire thing was automated and when it
finished I had a functional Win7 HP machine.
