The UPS is fine.....that was the first thing I checked.....even used it on
our primary machine and no problem.

The shutdown never occurs unless we use client access....that seems to be
the start of the failure.  When using Mocha, it will continue to run for
hours on end without any problems.

Check that your UPS is hooked up correctly.  We had this experience long
time ago, totally misread situation, partly because in an improper power
down, the kind of stuff in the log can be misleading.

We need more info... Do a DSPLOG for a time starting about 30 minutes 
prior to a shutdown and see what you can find there. Also do WRKPRB and 
see what you can see.
